Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Procur platform and related services (the “Service”) provided by Procur Technologies LLC (“Company,” “we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms.
1. Eligibility
You must be at least 18 years old and have the legal authority to enter into contracts on behalf of yourself or your organization to use the Service. By using the Service, you represent that you meet these requirements.
2. Account Registration
You must register for an account to access the Service. You agree to provide accurate, current, and complete information during registration — including your company name — and to keep your account credentials confidential. You are responsible for all activity that occurs under your account.
3. Subscription Plans and Billing
The Service is offered on a subscription basis. By selecting a paid plan, you authorize Procur Technologies LLC to charge the applicable fees to your payment method on a recurring basis. Subscription fees are non-refundable except as expressly stated in these Terms or required by law. We reserve the right to change pricing with at least 30 days’ notice.
4. Permitted Use
Subject to these Terms, Procur Technologies LLC grants you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business operations. You may not:
- Sublicense, resell, or otherwise make the Service available to third parties.
- Reverse engineer, decompile, or attempt to extract the source code of the Service.
- Use the Service in any manner that violates applicable law or infringes the rights of others.
- Introduce any malicious code, viruses, or harmful data into the Service.
5. Customer Data
You retain all rights to the data you submit to the Service (“Customer Data”). You grant Procur Technologies LLC a limited license to process Customer Data solely to provide and improve the Service. We will not sell your Customer Data to third parties. Please review our Privacy Policy for details on how we collect, use, and protect your data.
6. Intellectual Property
The Service, including all software, content, and technology, is owned by Procur Technologies LLC and protected by intellectual property laws. These Terms do not transfer any ownership rights to you. All trademarks, service marks, and trade names used in the Service are the property of Procur Technologies LLC.
7. Confidentiality
Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential. This obligation does not apply to information that is publicly available or independently developed.
8. Disclaimer of Warranties
The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Procur Technologies LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, Procur Technologies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total cumulative liability to you shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.
10. Indemnification
You agree to indemnify and hold harmless Procur Technologies LLC and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising out of your use of the Service, your Customer Data, or your violation of these Terms.
11. Termination
Either party may terminate these Terms at any time. We may suspend or terminate your access to the Service immediately if you breach these Terms. Upon termination, your right to use the Service ceases. Sections relating to intellectual property, disclaimers, limitations of liability, and governing law survive termination.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in Gwinnett County, Georgia.
13. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website or by email. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
